1.     Introduction.

These Website Standard Terms And Conditions (these “Terms” or these “Website Standard Terms And Conditions”) contained herein on this webpage, shall govern your use of this Website, defined as including all pages within this website as well as content hosted on other channels and related sites including www.synapticapproach.com and www.marketingideaexchange.com and marketingidea.exchange. These Terms apply in full force and effect to your use of this Website and by using this Website, you expressly accept all terms and conditions contained herein in full. You must not use this Website, if you have any objection to any of these Website Standard Terms And Conditions.

This Website is not for use by any minors (defined as those who are not at least 18 years of age), and you must not use this Website if you a minor.

2.     Intellectual Property Rights.

Other than content you own, which you may have opted to include on this Website, under these Terms,  Synaptic LLC and/or its licensors own all rights to the intellectual property and material contained in this Website, and all such rights are reserved.

You are granted a limited license only, subject to the restrictions provided in these Terms, for purposes of viewing the material contained on this Website.

Copyright law governs the use of materials you find on the internet, just as it governs the use of books, video or music in the analog world.

Many people assume that everything posted on the internet is public domain, probably because our law used to protect published works only if they displayed the proper copyright notice upon publication. The law, however, has changed: neither publication nor a notice of any kind is required to protect works today. Simply putting the fingers to the save key creates a copyrighted work. Implied and express licenses to use educational materials

Educational materials that are produced as part of the training that is sold by Synaptic is protected by copyright. License to access the materials is expressly granted only to registered payees. Sharing login information, replicating or copying materials in any form is strictly prohibited. Individuals are liable for their own actions when they copy and distribute others’ copyrighted works without permission.

3.     Offers and Restrictions.

You are expressly and emphatically restricted from all of the following:

1.     publishing any Website material in any media without written consent;

2.     selling, sublicensing and/or otherwise commercializing any Website material;

3.     publicly performing and/or showing any Website material;

4.     using this Website in any way that is, or may be, damaging to this Website;

5.     using this Website in any way that impacts user access to this Website;

6.     using this Website contrary to applicable laws and regulations, or in a way that causes, or may cause, harm to the Website, or to any person or business entity;

7.     engaging in any data mining, data harvesting, data extracting or any other similar activity in relation to this Website, or while using this Website;

8.     using this Website to engage in any advertising or marketing;

Certain areas of this Website are restricted from access by you and  Synaptic may further restrict access by you to any areas of this Website, at any time, in its sole and absolute discretion.  Any user ID and password you may have for this Website are confidential and you must maintain confidentiality of such information, never sharing access with anyone else.

4. Current Offers:

Synaptic is committed to our community. We are currently offering access to ONE of our online training that are available to the public at no cost to: active-duty military personnel, active-duty military spouses, or veterans, at no cost. This offer launches on November 11, 2018 at which time the only qualifying online course is Retail Sales Skills. This offer ends, regardless of availability of new qualifying courses, on Sunday, March 31, 2019. As new courses are released, notice will be made at our website and via our social media and other communications channels. Courses only qualify if the content is 100% online (some of our initiatives, such as Operational Excellence, are a hybrid mix of on-site and online that are available to business teams and therefore do not qualify for this initiative. This offer is intended to benefit individuals who are seeking job skills for their personal development. Proof of service and affiliation with the military service of the United States of America is required for participation. Synaptic reserves the right to end or alter this offer at any time. Further, Synaptic reserves the right to refuse or revoke this offer to anyone at our discretion.

Synaptic offers a product which is a community called MIX: Marketing Idea Exchange. This network is predicated on sharing of information and advice. Members of MIX agree to hold confidential all information found there including but not limited to: identities of members as individuals or organizations, insights or information shared there. Solicitation and advertising is strictly prohibited from this online space. Referrals are encouraged within the confines of the area called ‘marketplace’. Membership in MIX may be revoked for behavior that is deemed inappropriate at the sole discretion of the facilitators and administrators. Every reasonable attempt is made to protect the industry/territory of our members. Therefore, when individuals apply for membership in the same or similar category as an existing member within a reasonable geographic area of the existing member, the existing member will be extended a First Right of Refusal to block the new member from joining. Final decisions on territories are at the sole discretion of the MIX administrator or their designee.

5.     Your Content.

In these Website Standard Terms And Conditions, “Your Content” shall mean any audio, video, text, images or other material you choose to display on this Website. With respect to Your Content, by displaying it, you grant  Synaptic a non-exclusive, worldwide, irrevocable, royalty-free, sublicensable license to use, reproduce, adapt, publish, translate and distribute it in any and all media.

Your Content must be your own and must not be infringing on any third party’s rights.  Synaptic reserves the right to remove any of Your Content from this Website at any time, and for any reason, without notice.

6.     No warranties.

This Website is provided “as is,” with all faults, and  Synaptic makes no express or implied representations or warranties, of any kind related to this Website or the materials contained on this Website. Additionally, nothing contained on this Website shall be construed as providing consult or advice to you.

Membership in MIX comes with the following assurance of satisfaction or guarantee: If, within the first 30 days of your membership decide to cancel, your entire investment will be refunded. After your 30th day of membership, if for any reason, you are unsatisfied with your MIX Membership, you may cancel at any time without penalty.

7.     Limitation of liability.

In no event shall  Synaptic , nor any of its officers, directors and employees, be liable to you for anything arising out of or in any way connected with your use of this Website, whether such liability is under contract, tort or otherwise, and  Synaptic , including its officers, directors and employees shall not be liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Website.

8.     Indemnification.

You hereby indemnify to the fullest extent  Synaptic from and against any and all liabilities, costs, demands, causes of action, damages and expenses (including reasonable attorney’s fees) arising out of or in any way related to your breach of any of the provisions of these Terms.

9.     Severability.

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

10.     Variation of Terms.

Synaptic is permitted to revise these Terms at any time as it sees fit, and by using this Website you are expected to review such Terms on a regular basis to ensure you understand all terms and conditions governing use of this Website.

11.   Assignment.

Synaptic shall be permitted to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification or consent required. However, .you shall not be permitted to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.



13.   Entire Agreement.

These Terms, including any legal notices and disclaimers contained on this Website, constitute the entire agreement between  Synaptic and you in relation to your use of this Website, and supersede all prior agreements and understandings with respect to the same.

14.   Governing Law & Jurisdiction.

These Terms will be governed by and construed in accordance with the laws of the State of Michigan, USA, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Michigan, USA,for the resolution of any dispute.
